STATUTE OF ASSOCIATION “YOUTH FORUM 2001”
I. General principles
Article 1. This Statute regularizes the “Youth Forum 2001” activities.
Article 2. “Youth Forum 2001”called further an the forum is a voluntary and independent organization constituted as a non profit legal entity in accordance with the Statute of NGOs that realizes its in accordance with the Constitution, the laws in the Republic of Bulgaria and with this Statute.
II. Name, main office address and terms.
Article 3. The name of the forum is “Youth Forum 2001”
Article 4.The name of the forum may be written in English language as follows Association “Youth Forum 2001”.
Article 5. The main office of the forum is in Razgrad.
Article 6. The address of the forum is: 15 “Bulgaria” Bul., 7200 Razgrad
Article 7. The forum is not limited by terms or any other suspending conditions.
III. Activities purpose
Article 8. The forum is an organization which activities are directed to social benefit.
IV. Forum Mission
Article 9. Our
mission as a structured youth forum is to improve the societal role of the
youth in Razgrad and strive towards equality for every social and ethnic group
by providing opportunities for youth to actively participate in their interests
while in a motivating and positive atmosphere
V. Forum
Purpose
Article 10. The Forum purposes are:
1.
To ensure understanding and defense of human rights and to improve the
tolerance and understanding, abilities to build the capacity in the civil
sector through education, change of ideas and information.
2.
To improve the economical and social politics, civil initiatives support,
maintain the interests of young people in order to achieve positive changes in
society.
3.
To support youth entities development by satisfying their needs and solving
problems on local level.
4. To broaden our
horizons to our neighbors on the Balkans (Kosovo, Bosnia and Herzegovina,
Serbia and Montenegro, Croatia,
Slovenia) and share with
them tolerance and ideas for the minority groups.
5.
To initiate, realize or give help to concrete projects and
programs, cooperation for development of the youth communities;
VI. Aims of the Forum
Article 11. Aims of the
Forum:
1. Integration
and equal opportunities for the young people in the community;
2. Support
for the young people from vulnerable groups – minority groups, unemployed,
people with disabilities, children in risk, single parents, religious groups,
convicted young people, former prisoners, people with AIDS, emigrants;
3. The
cooperation with the local authorities for identification of current needs,
developing youth politics, creating models, successful strategies for
development of youth communities;
4. Attaining
financial independence of the youth NGOs who work in help of social groups with
unequal status;
5. Provide
informational and consultant service for the young people from Razgrad and the
region,
6. Improve
the contacts and collaboration between the youth organizations, local
authorities, business and citizens;
7.
Coordinates the collaboration, supports
the activity of its members and stimulates the development of
charity in Razgrad’s region;
VII. Membership,
rights and obligations
Article 12. 1. Full-right
members of the Forum can be, all efficient, Bulgarian and foreign physical and
juridical individuals, regularly registered according to the active norm order,
who accept the order.
2. The
organization can create its own clubs on Bulgarian territory, informing the
local authorities with an official letter.
Article 13. Juridical
individuals, national and local governing bodies, political parties,
professional unions and religious organizations cannot be members of the Forum.
Article 14. 1. The
acceptance of full-right members is done by the General assembly of the Forum
according to the proposal of the Administrative council,
on the basis of written application for membership and declaration, that they
accept the conditions of the present Statute for physical individuals. For
juridical individuals the acceptance is done on the basis of written
application for membership, to which are attached evidence of
the character and the reason for the activity – statute and
certificate for registration, declaration, that they accept the conditions of
the present Statute.
2. The
membership is definitive and becomes active with the decision of the General
assembly.
Article 15. 1. Every
member of the Forum has the right of one vote in the General assembly.
2. Every
member of the Forum can participate with equal rights in all forms of activity
and government of the Forum.
Article 16. Every
member of the Forum has the right:
a/
to make use of its activity;
b/ to
participate in its governing;
c/
to get information about the status of the accountancy and the activity of the
Forum, using the proper documentation and asking for
clarification;
Article 17. Every member of the Forum is
obliged:
a/ to
obey the Statute and the decisions of the administrative bodies of the Forum,
when they are not in contradiction with its own Statute;
b/
to assist for achieving the aims of the Forum;
c/ not to
impair and lower the good name of the Forum with his/hers public behavior;
Article 18. The Forum
is not responsible for the obligations of its members out of the organization.
Article 19. 1. The
General assembly, according to one of the following reasons, can terminate the
membership in the Forum:
à/ with
unilateral statement to the Forum;
á/ with the
death or when under full interdiction;
â/ with the
elimination;
ã/ when
dropping out;
2. The
decision for elimination is taken by the General assembly when there is a
behavior that makes the further membership incompatible.
3. The
decisions of the General assembly about the membership are definitive.
VII². Administrative
bodies
Article
20.1. Administrative
bodies of the Forum are the General assembly, the Managing board, and
the Board of trustees.
2. In
the administrative bodies of the Forum, one person cannot be elected on more
than one position.
IX. General assembly
Article 21. 1. The General assembly is
a high Forum administrative body.
2. The
General assembly is being convoked at least once a year according to a decision
of the Managing board or a request of one third of the Forum members in the
proper place, where the office
of the Forum is established. When in the
latter case the Managing board in a month period does not send a written
invitation for convocation of the General assembly, it
is convoked by the court in the settlement of the Forum according to a written
request from the concerned members or the entrusted from them individual.
3. The
invitation is personal and is being delivered at least 14 days before the
meeting, as there are pointed the time and place of the meeting, the agenda,
and whose is the initiative for the meeting.
4. The
General assembly is legal, if there are at least one half of
the full-right members of the Forum. If there
are not enough members, the meeting is led one hour later at the same place and
with the same agenda and is considered legal, no matter what the number of the
delegates is. Every representative has the right
of one vote.
5. The
chairman of the Managing board leads the meetings of the General assembly.
6. The
General assembly has the right to:
a/ determine
the main directions for the development of the Forum;
b/ change and
complement the Statute;
c/ determine
the members of the collective bodies, choose and
eliminate the Managing board and the Board of Trustees among the
representatives of its full-right members. They must
be consisted of uncountable number of representatives.
d/ Chooses and dismisses the chairman
and the prime-chairmen of the Managing board and the chairman of the Board of
trustees;
e/ Accepting
new members of the Forum according to the proposal of the Managing Board;
f/ accepts
the working Statute of the Board of trustees and approves its report;
g/ Discusses
and accepts the annual report of the Managing board and the Board of trustees;
h/ accepts
a budget of the Forum activities and accepts its actualizations;
i/ defines
the remunerations of the members of the Managing board and the Board of trustees, in
case of decisions for such remuneration made by the General assembly;
j/ Makes
decision for reforming or terminating the Forum activities;
k/ Makes
decision for participation in another organizations;
l/ makes
other decisions, deriving from the Statute;
m/ Implements
all the other activities that are not against the Statute;
n/ Revokes
decisions of the other bodies of the Forum that contradict the Statute or other
inner acts, regulating the activity of the Forum.
o/ is
being convoked at least once a year by the chairman of the Managing board or on
a demand of at least 1/10 of its members;
p/ approves
the body of the Advisory council of the
youth section, according to a suggestion of the Managing board;
q/ Makes
decisions with ordinary majority of the whole number of its members, but
for a change in the Statute, termination of the activity of the Forum or its
coalition with other corporate body, is needed a
majority of 2/3 of the attending members;
r/ The
General assembly is considered legal, if at least
one half of all the members attend;
7. On
questions that have not been previously entered in and announced,
cannot be taken decisions. This does not concern the cases of
dismissing members of the Managing board and the Board of trustees and
accepting new members on their place.
8. The
rights according to item 6 -
b/, e/, i/, h/, j/ and o/ cannot
be entrusted to other bodies of the Forum.
9.
The decisions of the General assembly are obligatory for the other bodies of
the Forum;
10. Every member of the General
assembly has the right of one vote.
11. A
member of the General assembly has no right to vote in solving tasks connected
with:
a/ him/herself, his/her
spouse or straight relatives – without restrictions, the lateral
branch – until
fourth degree, or
kinship by marriage – until
second degree (including);
b/ corporate
bodies, in
which he is a chairman or has the right to affect the process of making
decision.
12. One
person can represent no more than three members of the General assembly on the
basis of a written warrant of attorney.
13. The
decisions of the General assembly are subject to
judicial control on their conformity with the law and the Statute.
14. The decisions of the
organization of the Forum, which are taken in opposition with the law, the
Statue or the transitional decision on the General assembly,
can be argued in front of the General assembly by wanting of the interested
participants of the Forum or of one of his organisations. It should be given in
maximum one month from his knowing, and not later than a year from the date of
taking the decision.
X. Managing
board
Article 22. 1 The Managing board
is an
operative part of the Forum’s body. It is represented from 3 to 7
commissionable representatives of the member organizations or other people. It
is chosen for three years. The advocacy people, who are members of the Forum,
can point as member people, who are not members of the Forum.
2. The meetings of the ruling
council are done and leaded by the chairperson. The chairman should organize
the meeting of the Managing board, when more than 30 % of the members give a
written wanting. If the chairman does not make such a meeting in a week, it can
be done by any of the members who are interested in it. When the chairman is
not there the meeting is lead by one of the members, who is chosen to do this.
3. The Managing
board can
take any kind of decisions when at least half of the members are there.
4. A person is present even when
there is two-sides communication telephone or other,
but it should guarantee the identification and it will provide his
participation in the discussing or taking decision process. The vote of this
member is written in the document from the meeting by the president.
5. The decisions of the Managing
board can
be made in a vote- when most of the members give their vote about that. The
decisions on d.1 from transitional or end decree and art.13 d. 1, are taken
with the votes of every member. In the Statue it can be predict the decisions
to be taken with another parts of votes, but without
these from the last sentence.
6. The Managing
board can
take decisions without a meeting is made, if the document of the taken decision
is sighed without any disagreements by every member.
7. The Managing
board:
a/ organize the General
assembly;
b/represent the forum by insisting every of the members to has a
representative authority;
c/ make suggestions In front of the
General assembly about some changes or additions of the Statue, for joining
together with another advocacy person with an ideal aim.
d/ organize and assure
the making of the decisions of the General assembly;
e/ chose or set free the
youth leader;
f/ makes and suggests
some ways for developing the Forum;
g/ accept the year budget
and the balance and give them in front of the General assembly;
h/ give resume of the
activities every ear;
i/make suggestions for
accepting or setting free some of the members of the Forum;
j/ obtain the necessarily
of concluding some labour or commercial contracts.
k/accept actualisation of the budget with aim to prevent any
advantages to be used or some of the forum’s interests to be disrupted. The
decision is taken withal of the votes and can be approve by the General
assembly.
l/ make and approve some
leader systems and procedures about the normal functioning of the organization;
m/ approve the Interior
of the youth section of the organisation, and also every following change;
n/when a member of the Managing
board is
accepted or set free, the Managing board can cooptate
a new member till the next common meeting, which chose the new member;
o/discuss and decide all
other questions, which are not in the competence of the General assembly and
are not against the statue;
p/has a meeting once on
every three months;
q/control the property of the
Forum;
r/ control the order and
organize the making of the activities of the Forum, including such in common
help and take responsibility on it;
s/ define the Forum’s
address;
t/ takes decisions on all
questions, which by law or by the Statue are not in some other organisation
rights;
u/ obey the obligations,
made by the Statue.
Article 23. 1. The chairman of the Managing
board
is chosen for a mandate of three years.
2.The chairman:
a/ organize, lead and
control the decision-making process on the General assembly and on the Managing
board;
b/ represent the Forum in
front of all physic or advocacy persons, and also in front of government
organisations in or out the country;
c/make surprises or penalties
of the workers;
d/ commission the workers
of the Forum in or outside the country;
e/ organize the meetings
of the Managing board;
f/ leads the meetings of
the Managing board;
g/ make the year report
and the balance of the Forum and give them for approving in the Managing
board;
h/ can receive a reward
if the Managing board suppose and the Managing
board
decides ; accept documents for membership in the Association;
i/ make and lead the
meetings of the General assembly. He or she gives a written invitation to every
member of the forum about the day, hour, the place and the day order of the
meeting of the Managing board at least 14 days before the
beginning of the meeting. The mass medias can also be
used;
j/ participate with the
right of consulting vote in the meetings of the Board.
Article24.The
deputy-chairman of the Managing board help the chairman in his actions, do some
functions, given them by him and they replace him when he is absent.
Article25. 1. The secretary makes the running
activity of the Forum and does the decisions of the General assembly, the Managing
board and
the chairman.
2.
He tells what has he done in front of the
chairman of the Managing board and in
front of the Managing board, when
there is a meeting.
XI. The Board of trustees
Article 26.
1. The
Board of trustees is a supervising and controlling body of the Forum;
2. There
are three to seven members of the Board of trustees, who can be members of the
Forum, too;
3. The
members of the Forum can be elected and dismissed with the decision of the
General assembly. The members of the Board of trustees have a mandate of three
years;
Article 27:
1. The
members of the Board of trustees choose a secretary who conducts the operative
activities and arranges the meetings of the board;
2. The
chairman has a deliberative vote in the meetings of the Managing board;
Article 28: Functions and work of the Board of trustees:
1. Popularizes
the Forum goals and work in the society;
2. A
public guarantor for the law- and charter-abidingness of the Forum work;
3. Supervises
the work with the Forum’s property;
4. Controls
the conformity with the law of the Forum expenses, supervises the clear policy
and accounts and the prevention of any conflicts with the Forum interests;
5. Participates
in the development of the managing system and procedures that facilitate the
work of the organization;
Article 29: Convention of the Board of trustees:
1. The
Board of trustees is convoked to meetings by the chairman at least once per
year;
2. The
Board of trustees can be convoked by the initiative of the members of the
organization or of the Managing board;
3. The
meeting is conducted by the chairman of the Board or by an authorized deputy;
Article 30: Quorum and majority:
1. The
meetings of the Board of trustees are valid if there are the half of the
members
2. The
Board of trustees makes the decision with majority of the members;
XII.
Representation
Article 31: The association is represented by the
chairman of the Managing board or by an authorized deputy.
XIII. Youth leader
Article 32:
1. The
youth leader is appointed with concluded contract in accordance with clause 18
of the Statute.
2. The
work of the youth leader is regulated by job profile;
XIV. Methods
for achieving the goals of the Forum
Article 33: The Forum implements activities for the
achievement of its main goals:
1. Consistent
research and analyses about youth needs in the region;
2. Stimulation
of the youth community for finding solution to the problems indicated by the
local citizens;
3. Development
of the potential of youth organizations and groups for offering social
services, managing of state-owned enterprises and realizing public funds;
4. Launching
campaigns for raising money finance for the projects for regions with priority
indicated by the authorities;
5. Competitions
are arranged for raising finance for the projects about regions with priority
indicated by the authorities;
6. Management
and apportionment of the Forum funds donated by local and foreign organizations
through open and clear procedures;
7. Supports
the activities of youth organizations and other NGOs from Razgrad’s
region in the way that follows:
-
Distributes information in the
sphere of organization establishment and practical work of jurists with no
economic purposes
-
Collects and keeps information for
youth organizations and groups;
-
Gives technique assistance and
consultations of legal, financial and management nature;
-
Organizes and coordinates round
table conferences, seminars, symposia, discussion forums, etc
Article 34: Economic activities of the Forum:
1. The
Forum has extra economic activities that are straightly connected to its main
work;
2. The
economic activities of the Forum aim to help with the realization of
consultations, educational, translation, information, advertising activities
and marketing; offering social services; public fund establishment and other
legal activities;
3. The
made profit, that is a result of additional economic activities, is used only
for the achievement of the Forum’s goals without any apportionment of the funds
between its members
XV. Property
Article 35: 1. The Forum property consists of money
(including foreign currency), stocks, possessions, intellectual property, art
works and other permitted by the Bulgarian Law;
3. The
Forum members are allowed to donate movable and immovable property (premises,
technique equipment, etc);
XVI.
Transitional and final regulations
1. The forum
is terminated and liquidated under the conditions and methods, provided
by law.

Movement “Youth Forum 2001” is a youth section to Association “Youth Forum
2001”in which people from

suggestion of the Managing board and with the decision of the General assembly
the Forum can give his property to juridical persons.
4. The
Forum has a round seal with an inscription Association “Youth Forum 2001”
5. The
Forum produces cards for his members.
6. The
Forum uses a type writing of his name in Bulgarian and English, and a graphical
sign, registered after the fixed order.
7. For the
unarranged questions in this Statute the special legislation for the juridical
persons is used.
8. By
accepting the modifications of the Statute the activity of the Managing board
as a way of control.
9.The
modifications in this Statute are accepted during the General assembly of
association “Youth Forum 2001”, which took place in Razgrad on
